Option Consideration definition

Option Consideration has the meaning set forth in Section 3.3(a).
Option Consideration means, with respect to any share of Company Common Stock issuable under a particular Option, an amount equal to the excess, if any, of (i) the Merger Consideration over (ii) the exercise price payable in respect of such share of Company Common Stock issuable under such Option.
Option Consideration has the meaning set forth in Section 2.10(a).

Examples of Option Consideration in a sentence

  • The surrender of an Option to the Company in exchange for the Option Consideration shall be deemed a release of any and all rights the holder had or may have had in respect of such Option.

  • The Option Consideration shall be treated as compensation and shall be payable net of any applicable federal and state income and employment withholding taxes.
