Solely during period from the Commencement Date until the Option Expiration Date, Landlord agrees that Landlord shall, at its sole cost and expense, maintain and repair all structural portions of the Premises, including, without limitation, the foundation and façade (including any waterproofing), structural columns, mechanical risers, concrete slabs roof and setback, but only to the extent such repairs and maintenance are not caused by Tenant’s negligence or willful misconduct.
An estimate of the Buyout Price as projected on such date as Tenant chooses shall be initially delivered by Landlord on the first anniversary of the Commencement Date and upon request by Xxxxxx updated and delivered by Landlord to Tenant on each subsequent anniversary of the Commencement Date, and at such other times as reasonably requested by Xxxxxx, until the Option Expiration Date (as defined below).
Notwithstanding anything herein to the contrary, after the Option Expiration Date, Tenant is solely responsible for maintaining and repairing all structural portions of the Premises.
On the first anniversary of the Commencement Date occurring after the Option Expiration Date, and on the anniversary of the Commencement Date every three Lease Years thereafter, Tenant shall deposit such additional amounts as required in order that the amount of the Security Deposit shall be equal to three months of Base Rent for the forthcoming year.
Notwithstanding the foregoing, solely during the period between the Commencement Date and the Option Expiration Date, and only to the extent that the compliance with the Legal Requirements requires any structural change, alteration or correction that is not the result of any act or omission of Tenant or any Tenant Party, Landlord shall, at its own cost and expense, perform such necessary structural change, alteration or correction; provided the costs of the same shall be included in total Project Costs.
