Option Percentage definition

Option Percentage has the meaning set forth in Section 6.2(g)(ii).
Option Percentage is the Option Amount divided by the death benefit.
Option Percentage means the amount determined annually by the Committee pursuant to Section 6.1.

Option Percentage means (i) if the Triggering Event giving rise to the exercise of the Option shall have occurred as a result of the $10,662,000 Termination Amount provided for in Section 8.3 of the Merger Agreement becoming payable, 9.9% and, (ii) if the Triggering Event giving rise to the exercise of the Option shall have occurred as a result of the $42,648,000 Termination Amount provided for in Section 8.3 of the Merger Agreement becoming payable, 19.9%
Option Percentage for any Option Holder means the quotient of (a) the Option Cancellation Payment for such Option Holder divided by (b) the Total Proceeds.
