Option Securities definition

Option Securities shall have the meaning ascribed to such term in Section 2.2(a).

Option Securities is defined in Section 2.1.4.

Option Securities means an aggregate Liquidation Amount of $3,750,000 of the Trust's ____% preferred securities, issuable to the Underwriters, at its option, exercisable within 30 days after the date of the Prospectus, solely to cover over-allotments, if any.

Examples of Option Securities in a sentence

• The option hereby granted may be exercised for 30 days after the date hereof and may be exercised in whole or in part at any time from time to time upon notice by the Representative to the Company, the Forward Seller and the Forward Purchaser setting forth the number of Option Securities as to which the several Underwriters are then exercising the option and the time and date of payment and delivery for such Option Securities.

• The Company and the Forward Seller have granted an option to the Underwriters, severally and not jointly, to purchase up to 2,857,143 Option Securities.

• Xxxxxx, Executive Vice President, Chief Legal Officer and Corporate Secretary of the Company, each in form and substance reasonably satisfactory to counsel for the Underwriters, the Forward Seller and the Forward Purchaser, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(b) hereof.

More Definitions of Option Securities

Option Securities means options, warrants or other rights to purchase or acquire Common Stock, as well as stock appreciation rights, phantom stock units and similar rights whose value is derived from the value of the Common Stock.

Option Securities means the U.S. Option Securities and the International Option Securities.

Option Securities means all rights, options and warrants, all calls or commitments evidencing the right, to subscribe for, purchase or otherwise acquire Shares or Convertible Securities, whether or not the right to subscribe for, purchase or otherwise acquire is immediately exercisable or is conditioned upon the passage of time, the occurrence or non-occurrence or the existence or non-existence of some other Event.

Option Securities shall have the meaning as defined in the introductory paragraphs of this Agreement.

Option Securities means the Ordinary Shares or other equity securities registrable pursuant to the terms of the Unit Purchase Option which will have contractual piggyback registration rights.
