Examples of Option Warrants in a sentence
The Over-Allotment Option may be exercised by the Representative in any combination of Option Shares and/or Option Warrants at the Share Purchase Price and/or Warrant Purchase Price, respectively.
If the Over-Allotment Option is exercised in whole or in part, the Option Shares and/or Option Warrants (as the case may be) shall be purchased by the Underwriters in the amounts set forth opposite their respective names on Schedule 1 attached hereto (or a pro rata portion thereof if less than the full Over-Allotment Option is exercised).
At the Closing Date, the Representative shall have received (a) the Closing Warrants and, as to each Option Closing Date, if any, the applicable Option Warrants, which shall be delivered via The Depository Trust Company Deposit or Withdrawal at Custodian system for the accounts of the several Underwriters; and (b) the Warrant Agent Agreement duly executed by the parties thereto.
Payment for the Option Units shall be made on the Option Closing Date by wire transfer in federal (same day) funds, upon delivery to the Representative of certificates (in form and substance satisfactory to the Representative) representing the Option Shares (or through the facilities of DTC) for the account of the Representative and issue and deliver the Representative, for delivery to such purchasers, Option Warrants.
