Organization and Corporate Power. The Company is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and is qualified to do business in every jurisdiction in which the failure to so qualify would reasonably be expected to have a material adverse effect on the financial condition, operating results or assets of the Company. Organization and Corporate Power. (a) The Parent is a corporation duly organized, validly existing and in good standing under the Laws of the State of Delaware. Each Subsidiary of the Parent is duly organized, validly existing and in good standing under the Laws of the states as set forth on Section 4.01 of the Parent Disclosure Schedule. The Parent and its Subsidiaries have all requisite corporate power and authority and all authorizations, licenses and Permits necessary to own, lease and operate its properties and to carry on its business as it is now being conducted and as currently proposed to be conducted. The Parent and its Subsidiaries are duly qualified or authorized to do business and is in good standing in every jurisdiction in which its ownership of property or the conduct of business as now conducted requires it to qualify, and all such jurisdictions are set forth on Section 4.01 of the Parent Disclosure Schedule, except where the failure to be so qualified or licensed or to be in good standing, would not reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect. (b) True, correct and complete copies of the Parent Charter and bylaws of the Parent, including all amendments or restatements thereof (collectively, the “Parent Organizational Documents”), and the organizational documents for each Subsidiary, have been heretofore made available to the Company. The Parent has provided to the Company true, correct and complete copies of the minute books of the Parent and each Subsidiary, and such minute books contain a complete summary of all meetings and actions of the Parent’s board of directors, and each Subsidiaries board of directors, including all committees thereof.
