Original Guarantee definition

Original Guarantee means the guarantee dated as of the Issue Date, issued by UBS Group AG for the benefit of the Holders and governed by Swiss law, pursuant to which UBS Group AG, among other things, irrevocably and unconditionally guaranteed to the Holders, pursuant to article 111 of the Swiss Code and on a subordinated basis corresponding mutatis mutandis to Condition 3 (Status and Subordination), the due and punctual payment of principal and interest and all other amounts due and payable under, or in respect of, the Notes upon receipt of the written request for payment of the relevant amount, and which guarantee ceased to exist upon the Issuer Substitution Effective Date.
Original Guarantee means that certain Guarantee [NW 1997 H], dated as of the Certificate Closing Date, made by the Guarantor, as such Guarantee may have been amended or supplemented from time to time pursuant to the applicable provisions thereof prior to the Delivery Date.

Examples of Original Guarantee in a sentence

  • However, it shall be a condition of any claim being validly made under this Deed of Guarantee that no claim has been or will be made for the same amount or in respect of the same loss under the Original Guarantee or under any Amended Guarantee by the relevant Noteholder or Accountholder in respect of the relevant Notes.

  • Subject to the next sentence, the Guarantor waives any objection to valid claims in respect of Outstanding Notes being brought under the Original Guarantee, each Amended Guarantee or under this Deed of Guarantee.

  • As used in this Supplemental Guarantee Agreement, terms defined in the Original Guarantee Agreement or in the preamble or recital hereto are used herein as therein defined.

  • All notices and other communications to the Company, Trustee or any Holder shall be given as provided in the Original Guarantee Agreement.


More Definitions of Original Guarantee

Original Guarantee means the guarantee referred to in recital (B) dated 30 July 2014 made between (i) the Guarantor and (ii) the Lender whereby the Guarantor agreed to guarantee the obligations of the Borrowers under the Original Loan Agreement and the other Finance Documents.
