Original Guarantor definition

Original Guarantor means the Persons identified as such in the first paragraph of this Indenture until a successor Person shall have become such pursuant to the applicable provisions of this Indenture, and thereafter each such successor Person shall be an “Original Guarantor”.
Original Guarantor means each of the companies and partnerships listed in Part 1 of Schedule 2 (The Original Guarantors), which in each case has not ceased to be a party to this Agreement in accordance with the terms of this Agreement.
Original Guarantor means as defined in Definitions section of the Guarantee Agreement.

Examples of Original Guarantor in a sentence

  • In connection therewith, (i) the rights and obligations of such New Guarantor and the restrictions imposed upon it under this Indenture shall be the same in all respects as if the New Guarantor had been an Original Guarantor and (ii) the rights and obligations and restrictions imposed upon the other Guarantors shall be the same in all respects as if the New Guarantor had been an Original Guarantor.

  • Neither the Original Seller nor the Original Guarantor shall be released from performance of any of their respective obligations under the Agreement and/or the Guaranty, as applicable.

  • Chorus Limited (the "Issuer") has established a Euro Medium Term Note Programme (the "Programme") for the issuance of up to U.S.$2,000,000,000 in aggregate principal amount of notes (the "Notes") guaranteed by Chorus New Zealand Limited (the "Original Guarantor") and certain other subsidiaries of the Issuer from time to time (together with the Original Guarantor, the "Guarantors").

  • Noteholder, Assumptor, New Guarantor, Borrower, and Original Guarantor have caused this Assumption Agreement to be duly executed as of the date first above written.

  • If required by law, a copy of a resolution of the board of directors of each corporate shareholder in each Original Guarantor approving the terms of the resolution referred to in paragraph 5 above.
