The transfer, assignment and the pledge of the Master Lease Agreement by the Original Lessee to the Borrower pursuant to the Sale and Contribution Agreement and the pledge by the Borrower to the Facility Agent pursuant to the Security Agreement are not subject to and will not result in any tax, fee or governmental charge payable by the Borrower to any federal, state or local government except as paid.
