Original Noteholder definition

Original Noteholder and (in relation to a Note) "holder" means the bearer of an Original Note;

Original Noteholder means the person shown in the records of Euroclear or Clearstream, Luxembourg as the beneficial holder of 100 per cent. of the outstanding Notes as at the close of business on the Issue Date of the Notes. TheCalculation Agent shall obtain confirmation of the identity of such beneficial holder on the Issue Date of the Notes and the person identified to the Calculation Agent as such beneficial holder pursuant to any such confirmation shall be treated as the Original Noteholder for the purposes hereof.

Original Noteholder has the meaning set forth in the recitals to this Agreement.

• In addition, the Noteholders, if reasonably requested by the Borrower or the Original Noteholder, shall deliver such other documentation prescribed by applicable Law or reasonably requested by the Borrower or the Original Noteholder as will enable the Borrower or the Original Noteholder to determine whether or not the Noteholder is subject to backup withholding or information reporting requirements.

• The obligations of Borrower under this Agreement and the Collateral Documents are registered obligations and the right, title and interest of the Original Noteholder and its assignees in and to such obligations shall be transferable only upon notation of such transfer in the Register.

• Each such Original Noteholder hereby waives the right of such Noteholder to the 10-day notice set forth in Section 5.8 of the Original Agreement relating to the issuance hereunder of the Convertible Notes and Warrants.

• At each Closing comprising the New Closing, the Company will deliver to each Noteholder participating in that closing a Convertible Note in the aggregate principal amount as provided for in Schedule 1 hereof against payment of the purchase price therefor in the case of New Noteholders, or in exchange for cancellation or restatement of a Bridge Note or GT Note, in the case of an Original Noteholder or GT Noteholder, respectively, as the case may be.

• In furtherance of the foregoing, on the date hereof the Original Noteholder shall deliver to the Borrower duly completed and executed copies of IRS Form W-9 certifying that the Original Noteholder is a U.S. person exempt from U.S. federal backup withholding tax.
