Examples of Original Stockholders in a sentence
Purchaser hereby generally, irrevocably, unconditionally and completely releases and forever discharges the Corporation, its officers and directors, each of the Investors, and each of the other Original Stockholders from, and hereby irrevocably, unconditionally and completely waives and relinquishes, any rights it may have arising on or before the time immediately prior to the execution of this Stock Purchase Agreement.
Amended and Restated Stockholders’ Agreement, dated as of December 15, 2006, by and between the Corporation, the Investors, the Original Stockholders, the Series A Stockholders and the Series B Stockholders (each as defined therein), as amended by Amendment No. 1 thereto, dated as of February 22, 2007, Amendment No. 2 thereto, dated as of August 17, 2007, and Amendment No. 3 thereto, dated as of October , 2008.
The Parties are released from any and all obligations and liabilities under the Original Stockholders Agreement and shall have no obligation or liability thereunder, except to the extent of any rights or obligations thereunder up to the date hereof.
In addition, during the term of this Agreement and for a period of five years after termination of this Agreement, the Distributor shall cause its subsidiaries and affiliates (which for purposes of this Agreement shall be deemed to include any Parent of the Distributor and the Original Stockholders and Permitted Transferees (as such terms are defined in Section 10)) (collectively, the "Non-Compete Party") to comply with the provisions of this Section.
This Agreement constitutes the entire agreement among the parties hereto as of the date hereof with respect to the matters contemplated herein, except with respect to Sections 1.1, 1.2.1, 1.2.2, 1.2.3 and to the extent applicable Section 1.2.4 of the Original Stockholders' Agreement which Sections shall be superseded on the terms contemplated hereby with respect to the rights and obligations of the parties hereto amongst each other as of the Voting Agreement Effective Date.
