Original Stockholders definition

Original Stockholders has the meaning set forth in the preamble.

Original Stockholders or "Original Investors" means those persons who are not employees of the Corporation and who were issued shares of Old Common Stock pursuant to the offering described in the Confidential Investment Memorandum of the Corporation, dated August 19, 1995, and their Permitted Transferees (as such term is used in that certain Stockholders' Agreement among the Corporation and the Original Investors, dated as of September 29, 1995).

Original Stockholders means the holders of Series AA Preferred Stock, as listed on Exhibit A attached hereto, who were among the holders of the Company’s previously outstanding Common Stock prior to the conversion thereof to Series AA Preferred Stock on September 1, 2004.

Examples of Original Stockholders in a sentence

• Purchaser hereby generally, irrevocably, unconditionally and completely releases and forever discharges the Corporation, its officers and directors, each of the Investors, and each of the other Original Stockholders from, and hereby irrevocably, unconditionally and completely waives and relinquishes, any rights it may have arising on or before the time immediately prior to the execution of this Stock Purchase Agreement.

• This Agreement constitutes the entire agreement among the parties hereto as of the date hereof with respect to the matters contemplated herein, except with respect to Sections 1.1, 1.2.1, 1.2.2, 1.2.3 and to the extent applicable Section 1.2.4 of the Original Stockholders' Agreement which Sections shall be superseded on the terms contemplated hereby with respect to the rights and obligations of the parties hereto amongst each other as of the Voting Agreement Effective Date.

Original Stockholders means, collectively, any Stockholder Associated Person of Hellman & Friedman LLC and any Stockholder Associated Person of General Atlantic LLC.

As used herein, "INVESTORS" means (a) Boston Ventures and (b) each other person, firm, corporation, or other entity that first becomes a Stockholder as a result of acquiring Stock from Boston Ventures or from another Investor. As used herein, "STOCK" means all outstanding capital stock of the Company. As used herein, "STOCKHOLDERS" means the Investors and the Original Stockholders.

Original Stockholders means the holders of outstanding shares of Common Stock listed on the Capitalization Schedule and, from and after the Stock Purchase Closing, includes the Optionholders, the RSU Holders and the Warrant Holders to the extent such Persons hold outstanding shares of Common Stock prior to Closing.

Original Stockholders means the Management Investor and Worthington.
