Other Equity Securities means any Capital Stock, other than the Common Stock, Convertible Securities or Options.

Other Equity Securities means any shares of capital stock of the Company and any other securities issued by the Company that are exercisable to purchase, convertible into, or exchangeable for shares of capital stock of the Company that are owned by any party hereto (other than the Company) or any affiliate of any party hereto (other than the Company), whether acquired prior to, on or after the date hereof.

Examples of Other Equity Securities in a sentence

• If any shares of Common Stock, Options, Convertible Securities or Other Equity Securities are issued or sold for consideration other than Cash (including in connection with any merger in which the Issuer issues such Securities), then the amount of the consideration other than Cash received by the Issuer shall be the Fair Market Value of such consideration, as of the date of receipt.
