Other Liens definition
Other Liens has the meaning specified in Section 4(e).
Other Liens means liens (other than Voluntary Liens and any mechanic’s and materialman’s liens filed with respect to any work performed by or for any Tenants other than by Contributor or its agents and for which Tenant is not required to reimburse Contributor or in connection with Capital Improvements made in accordance with Section 7.1 that will be paid in full at Closing) encumbering the Property (including judgments and federal, state and municipal tax liens) which (i) are in liquidated amounts and which may be satisfied solely by the payment of money (including the preparation or filing of appropriate satisfaction instruments in connection therewith), excluding, however, any liens relating to obligations that are subject to adjustment between Contributor and BKP pursuant to the terms of this Agreement, and (ii) do not exceed in the aggregate Five Million Dollars ($5,000,000.00).

Other Liens means liens (including judgments and federal, state and municipal tax liens, but excluding Voluntary Liens and excluding any mechanic’s and materialman’s liens filed with respect to any work performed by or for any Tenants), in each case, encumbering the Property which are in liquidated amounts and which may be satisfied solely by the payment of money (including the preparation or filing of appropriate satisfaction instruments in connection therewith), excluding, however, any liens relating to obligations that are subject to adjustment between Contributor and the Partnership pursuant to the terms of this Agreement.
Other Liens means (a) Liens granted in support of obligations under the ▇▇▇▇▇▇▇ Notes and ▇▇▇▇▇▇▇ Senior Credit Facility (all of which will be released as provided in the Release Letter and the Collateral Release Documents) and (b) Liens created by Acquiror (including, without limitation, any Liens created in connection with Acquiror’s financing of the transactions contemplated by this Agreement).
