Other Transaction Documents definition

Other Transaction Documents means the Transaction Documents other than this Agreement.

Other Transaction Documents means the Other Agreements and the other written agreements, documents, instruments and certificates at any time executed pursuant to or in connection with the Other Agreements (other than the Transaction Documents and the Underwriting Agreement), all as amended, modified or supplemented from time to time.

Other Transaction Documents means the Other MOAs, Other Charters and the Other Bills of Sale.

Examples of Other Transaction Documents in a sentence

• All corporate acts and other proceedings required to be taken by Purchaser to authorize the execution, delivery and performance of this Agreement and the Other Transaction Documents to which it is, or is specified to be, a party and to consummate the transactions contemplated hereby and thereby have been duly and properly taken.

• This Agreement, the Other Transaction Documents and the Confidentiality Agreement contain the entire agreement and understanding between the parties hereto with respect to the subject matter hereof and supersede all prior agreements and understandings relating to such subject matter.

Other Transaction Documents means (i) the Xxxx of Sale, (ii) the Assumption Agreement and (iii) the IP Assignment Documents.

Other Transaction Documents means the Employment Agreement, the Confidentiality Agreement, the Shareholders’ Agreement and the Services Agreement.

Other Transaction Documents means the License Agreement, Transition Services Agreement, Wafer Purchase Agreement and Registration Rights Agreement and the instruments of transfer or conveyance contemplated by and delivered at the Closing pursuant to Section 7.1(h) or 7.2(h).

Other Transaction Documents means (a) the Common Stock Purchase Agreement, and (b) the Share Purchase Agreement.
