Our Software definition

Our Software software product in machine readable object code (not source code) owned by Us, the Documentation for such product, and any Updates thereto. “Our Software” excludes Third Party Products.

Our Software means each and all of the following: (i) a Module, (ii) an Update obtained from us during a Support Term for which you have paid the applicable fees pursuant to Section 8.3 (Renewal, Support Fees), and (iii) an Upgrade for which you pay a separate license fee to us, and that is not governed by a separate written (e.g. signed or click-wrap) license agreement.

Our Software means software of which We own the copyright, or to which We have been granted a licence to sublicense.

Examples of Our Software in a sentence

• If We develop and provide any Interface from Our Software to the products or services of a third party, those products and services are not part of the Software, We make no warranties or representations of any kind with respect to those products and services.

• We are not responsible for any claimed breach of any warranty set forth in this clause caused by: (i) modifications made to Our Software by anyone other than Us; (ii) the combination, operation or use of Our Software with any items that are not part of the XXX or the Equipment; (iii) Your failure to use any Updates that We made available to You; (iv) Our adherence to Your specifications or instructions; or (v) You deviating from Our Software operating procedures described in the Documentation.

• Without prejudice to the disclaimers included in the Master Agreement, We undertake that, provided it is operated in accordance with Our instructions, Our Software will materially perform in accordance with the Documentation.

• In addition to the foregoing, this Attachment shall automatically terminate upon termination of Your license to use Our Software.

• Only the Interface developed by Us shall form part of Our Software.
