Seller shall request a change to the Planned Outage Schedule if Seller believes the Project must be shut down to conduct maintenance that cannot be delayed until the next Scheduled Planned Outage consistent with Good Utility Practices.
The Parties shall abide by the Outage Schedule Submittal Requirements described below and shall agree upon reasonable changes to these requirements and procedures from time to time, as necessary to: Comply with the CAISO Tariff; Accommodate changes to their respective generation technology and organizational structure; and Address changes in the operating and Scheduling procedures of Seller, Buyer and the CAISO, including automated forecast and outage submissions.
Notwithstanding events of Force Majeure, the Seller shall use all reasonable endeavours to minimise the number and duration of any Outages not included on the Planned Outage Schedule ("Unplanned Outages") that occur during the Total Supply Period.
