Except in Foothill's discretion, Borrowers shall have no right to receive, and Foothill shall not make, any Overadvances in excess of the Overadvance Limit as then in effect or at any time after the Overadvance Termination Date.
Any balance of Advances under the Revolving Facility outstanding at any time in excess of the lesser of the Facility Cap or the Availability (or, in the case of Overadvances, in excess of the Overadvance Limit) shall be immediately due and payable by Borrower without the necessity of any demand, at the Payment Office, whether or not a Default or Event of Default has occurred or is continuing and shall be paid in the manner specified in Section 2.9.
If at any time the outstanding -------------------- aggregate principal amount of all Revolving Loans shall exceed the Borrowing Base plus the amount of the Overadvance Limit in effect from time to time, then any such excess amount shall, at Bank's election, be due and payable on demand.
The Revolving Loan shall not exceed, and the Lenders shall not have any obligation to make any Revolving Advance which shall result in the Revolving Loan being in excess of, the Borrowing Limit; provided, that, the Borrower may request, and the Agent may make and maintain at its sole and absolute discretion, one or more Overadvances from time to time, so long as, following the funding of any Overadvance, the Revolving Loan does not exceed the Overadvance Limit.
The definition of "Overadvance Limit" contained in section 1(a) of the First Amendment is deleted in its entirety.
