All Paired Shares to be issued as the Equity Purchase Price at the Closing in accordance with this Agreement will, when so issued, be duly authorized, validly issued, fully paid and nonassessable and free of preemptive rights and will be paired with each other in the same ratio as all other shares are paired with each other pursuant to the Pairing Agreement.
