Paragraph 9. Person" means an individual, corporation, partnership, trust, unincorporated association or any other legal entity, and collectively shall include any group of two or more Persons acting in concert. "Affiliate" with regard to a Person, means a Person that controls or is controlled by such Person. For purposes of this definition, "control" when used with respect to any Person means the power to direct the management and policies of such Person, whether through the ownership of voting securities, by contract or otherwise. The term "Affiliates" and "Affiliated" shall have correlative meanings. For purposes of this Paragraph 9, neither the Company, the REIT, the Operating Partnership, ARC, nor UICI shall be deemed an Affiliate of the Employee. "Shares" means the Common Shares, together with the Preferred Shares, of the REIT. "Common Shares" means common shares of beneficial interest of the REIT, par value $0.01 per share. "Preferred Shares" means the preferred shares of beneficial interest of the REIT, par value $0.01 per share. "Unit" means a unit of limited partnership interest in the Operating Partnership.

Paragraph 9. Property Restoration Requirements: The Purchaser agrees to protect and/or maintain all physical improvements of the Seller’s Property and adjoining landowner’s property, such as roads, bridges, fences, pastures, and cultivated fields, affected by the activities conducted under this Contract in functional condition throughout the life of this Contract and to leave them in as good a condition as found upon the Contract’s expiration. Log yards and skid trails (where necessary) shall be leveled and seeded with a mixture of grass seed in a quantity sufficient to stabilize and re-establish the disturbed areas. The log yard(s) will be identified prior to being used by the Purchaser with the Land Buyer, in accordance with Paragraph 4. Log yards and access roads will be restored prior to the completion of the Contract.

• The obligations of this Agreement, which by their nature would continue beyond the termination on expiration of the Agreement, including without limitation, the obligations regarding Indemnification (Paragraph 2), Ownership of Documents (Paragraph 9), and Conflict of Interest (Paragraph 16), shall survive termination or expiration for two (2) years.

• The COUNTY’s rights under this Paragraph 9 shall not extend to any computer software used to create such Documents and Materials.

• Party A and Party B hereby agree that, notwithstanding anything to the contrary in this Annex, (a) the term “Secured Party” as used in this Annex means only Party B, (b) the term “Pledgor” as used in this Annex means only Party A, (c) only Party A makes the pledge and grant in Paragraph 2, the acknowledgement in the final sentence of Paragraph 8(a) and the representations in Paragraph 9.

• Upon termination of this Lease pursuant to this Paragraph 9, an equitable adjustment shall be made concerning advance rent and any advance payments made by Lessee to Lessor.
