Parent Business definition

Parent Business has the meaning set forth in the Separation and Distribution Agreement.
Parent Business means all businesses, operations and activities (whether or not such businesses, operations or activities are or have been terminated, divested or discontinued) conducted at any time prior to the Effective Time by either Party or any member of its Group, other than the SpinCo Business.
Parent Business shall have the meaning set forth in the Separation Agreement.

  • In any Joint Action, each of Parent and SpinCo may pursue separate defenses, claims, counterclaims or settlements to those claims relating solely to the Parent Business or the SpinCo Business, respectively; provided that each Party shall in good faith make reasonable best efforts to avoid adverse effects on the other Party.

More Definitions of Parent Business

Parent Business means the business(es) of providing those services or selling those products which Parent, Employer or any of their respective Subsidiaries actually provide or sell.
Parent Business means the respective businesses of Parent and its Subsidiaries as conducted as of the date hereof.
