Set forth beside each TA Continuing Shareholder’s name on Schedule A is the true and correct number of shares of Parent Common Stock owned by each such TA Continuing Shareholder, assuming the exercise of all options, warrants and other convertible Equity Interests into shares of Parent Common Stock and subject to other qualifications as set forth on Schedule A.
Parent shall distribute to the TA Continuing Shareholders the Spinco Interests in exchange for the number of shares of Parent Common Stock held by the Purchasers as set forth on Schedule 2.1 (the “Stock Consideration”).
Any cash and shares of Parent Common Stock and Parent Preferred Stock deposited with the Exchange Agent (including as payment for fractional shares in accordance with Section 3.3(h)) and any dividends or other distributions in accordance with Section 3.3(g) shall hereinafter be referred to as the “Exchange Fund.” The Surviving Company shall pay all charges and expenses, including those of the Exchange Agent, in connection with the exchange of shares for the Merger Consideration.
Parent will advise the Company, promptly after it receives notice thereof, of the time when the Registration Statement has become effective or any supplement or amendment has been filed, the issuance of any stop order or the suspension of the qualification of the Parent Common Stock issuable in connection with the Merger for offer or sale in any jurisdiction.
Parent shall take all action necessary to cause the Parent Common Stock and the Parent Preferred Stock to be issued in the Merger to be approved for listing on the NYSE prior to the Effective Time, subject to official notice of issuance.
