Guarantee Means the deed of guarantee described in the Order Form (Parent Company Guarantee).
Where required by the Authority in connection with any such amendment, the Contractor shall (as so required) confirm that any existing Parent Company Guarantee is sufficiently comprehensive so as to cover and support all of the Contractor's liabilities and obligations under and in connection with the Contract (as amended by such amendment) or provide a revised Parent Company Guarantee with such DEFFORM 10B to achieve the same purposes.
The Contractor shall provide the Parent Company Guarantee, duly executed by the Parent Company, within fifteen (15) Business Days of any request made the Client.
If the Contractor's proposed Guarantor is incorporated outside of the United Kingdom, the Contractor shall at its own cost, on or before the Commencement Date, have procured a legal opinion as to the enforceability of the Parent Company Guarantee in a form acceptable to the Authority from an independent legal adviser qualified to practise in the jurisdiction in which such Guarantor is established and has its own office.
A7.1 The Contractor shall procure on or before the Commencement Date the execution of a Parent Company Guarantee is executed in favour of the Authority in the form set out in Schedule 18 (Parent Company Guarantee) to secure the due performance by the Contractor of its obligations to the Authority.
