PARENT DISCLOSURE definition

PARENT DISCLOSURE means any announcement or circular, including all schedules, appendices and exhibits to, and information incorporated by reference in, any such announcement or circular, as amended, supplemented or otherwise modified from time to time, to be published or issued by the Parent in connection with the Arrangement in accordance with the requirements of the Hong Kong Listing Rules.

PARENT DISCLOSURE. SCHEDULE" means the Disclosure Schedule of Parent attached to this Agreement as Schedule II.

PARENT DISCLOSURE means any form, statement, schedule or other material (other than the Disclosure Documents) filed with or furnished to: (A) the Commission, (B) any other Governmental Entity, or (C) holders of any securities of any member of the Parent Group, on or after the Effective Time by or on behalf of any member of the Parent Group in connection with the registration, sale, or distribution of securities or disclosure related thereto (including periodic disclosure obligations).

• Parent and Merger Sub hereby represent and warrant to the Company that the statements contained in this SECTION 5.1 are true and correct, except to the extent set forth on the disclosure schedule delivered contemporaneously with this Agreement by Parent to the Company (the "PARENT DISCLOSURE SCHEDULE").
