PARENT DISCLOSURE definition

PARENT DISCLOSURE means any announcement or circular, including all schedules, appendices and exhibits to, and information incorporated by reference in, any such announcement or circular, as amended, supplemented or otherwise modified from time to time, to be published or issued by the Parent in connection with the Arrangement in accordance with the requirements of the Hong Kong Listing Rules.
PARENT DISCLOSURE. SCHEDULE" means the Disclosure Schedule of Parent attached to this Agreement as Schedule II.
PARENT DISCLOSURE means any form, statement, schedule or other material (other than the Disclosure Documents) filed with or furnished to: (A) the Commission, (B) any other Governmental Entity, or (C) holders of any securities of any member of the Parent Group, on or after the Effective Time by or on behalf of any member of the Parent Group in connection with the registration, sale, or distribution of securities or disclosure related thereto (including periodic disclosure obligations).

PARENT DISCLOSURE. SCHEDULE" shall have the meaning set forth in Article VI.
