Parent Equity Award definition

Parent Equity Award means a Parent Stock Option or a Parent Restricted Share, as the case may be.

Parent Equity Award means any form of compensation (including deferred compensation) that is or may be paid or settled in Parent Common Stock.

Parent Equity Award means, collectively, the Parent Stock Options and the Parent RSU Awards.

Examples of Parent Equity Award in a sentence

• Each Parent Equity Award is subject to service based vesting or performance based vesting and shall be settled in cash with respect to a pro-rata portion of such award in accordance with its terms as soon as practicable, but no later than ten business days after the applicable Transfer Time.

• Each award with respect to Parent Common Units that is outstanding immediately prior to the Effective Time under the Parent Long-Term Incentive Plan (“ Parent Equity Award ”) and consisting of Parent Performance Units (“ Parent Legacy PU Award ”) shall, as of the Effective Time, be subject to substantially the same terms that were in effect immediately prior to the Effective Time; provided that such Parent Legacy PU Award shall be subject to the Performance Metric Adjustment.

• The Parties shall, and shall cause their respective Subsidiaries to, use commercially reasonable efforts to take all actions necessary or appropriate so that each outstanding Parent Equity Award granted under any Parent Equity Plan shall be adjusted as set forth in this Section 13.02 as of immediately prior to the Distribution.

• Each Parent Time-Based Restricted Stock Award that is outstanding immediately prior to the Effective Time and that is held by a Parent Equity Award Holder, whether vested or unvested, shall continue to have, and be subject to, the same terms and conditions (including the vesting schedule) as were applicable to the Parent Time-Based Restricted Stock Award immediately prior to the Effective Time.

• Except for an Employee Incentive Plan of the Parent and as set forth in Section 4.02(b)(ii) of the Parent Disclosure Schedules, there are no Contracts to which Parent is a party obligating Parent to accelerate the vesting of any Parent Equity Award as a result of the transactions contemplated by this Agreement.

Parent Equity Award means any Parent Option or other award issued pursuant to the Parent Equity Plans.
