Parent Equity Award definition

Parent Equity Award means a Parent Stock Option or a Parent Restricted Share, as the case may be.

Parent Equity Award means any Parent Option or other award issued pursuant to the Parent Equity Plans.

Parent Equity Award means any form of compensation (including deferred compensation) that is or may be paid or settled in Parent Common Stock.

• Each Parent Equity Award is subject to service based vesting or performance based vesting and shall be settled in cash with respect to a pro-rata portion of such award in accordance with its terms as soon as practicable, but no later than ten business days after the applicable Transfer Time.

• Parent has Made Available to the Company accurate and complete copies of all equity plans pursuant to which any outstanding Parent Equity Awards were granted by Parent, and the forms of all Parent Equity Award agreements evidencing such Parent Equity Awards.

• The Parties shall, and shall cause their respective Subsidiaries to, use commercially reasonable efforts to take all actions necessary or appropriate so that each outstanding Parent Equity Award granted under any Parent Equity Plan shall be adjusted as set forth in this Section 13.02 as of immediately prior to the Distribution.

More Definitions of Parent Equity Award

Parent Equity Award means any Parent Option, share of Parent Restricted Stock, Parent RSU or Parent PSU.

Parent Equity Award means, collectively, the Parent Stock Options and the Parent RSU Awards.

Parent Equity Award means each right to acquire Parent Shares granted under any Parent Equity Plan.

Parent Equity Award means, collectively, the Parent Options, the Parent PSUs and the Parent RSUs. “Parent Expense Payment” has the meaning set forth in S ection 7.3(d)(i).
