Parent Group Member definition

Parent Group Member means (a) Parent and its Affiliates, (b) their respective directors, officers, employees, agents, attorneys and consultants and (c) successors and assigns of the foregoing.

Parent Group Member means any Group Member of the Parent Group.

Parent Group Member means any such Person individually.

• The Transferor shall (i) pay all its liabilities, (ii) not assume the liabilities of any Parent Group Member, (iii) not lend funds or extend credit to any Parent Group Member except pursuant to the Receivables Purchase Agreement in connection with the purchase of Receivables thereunder and (iv) not guarantee the liabilities of any Parent Group Member.

• Parent shall cause to be performed, and hereby guarantees the performance of, all actions, agreements and obligations set forth herein to be performed by a Parent Group Member and SpinCo shall cause to be performed, and hereby guarantees the performance of, all actions, agreements and obligations set forth herein to be performed by a SpinCo Group Member.

More Definitions of Parent Group Member

Parent Group Member means, collectively, the Performance Guarantor and its Affiliates (other than the Borrowers).

Parent Group Member means any corporation, partnership, joint venture, limited liability company, unincorporated association, trust or other entity within the Parent Group.
