The affirmative vote of a majority of the Parent Ordinary Shares properly cast at the Parent Shareholder Meeting is the only vote of the holders of any class or series of Parent’s share capital necessary to approve this Agreement and thereby approve the issuance of the Consideration Shares and the Parent Warrants contemplated hereby (collectively, the “Required Parent Shareholder Vote”).
