Parent PSU definition

Parent PSU means a restricted stock unit representing the right to vest in and be issued shares of Parent Common Stock by Parent, whether granted by Parent pursuant to the Parent Equity Plans, assumed by Parent in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested, which right vests based on achievement of performance targets, including performance targets related to the price of Parent Common Stock on a relative or absolute basis.

Parent PSU means any Parent RSU that is subject to performance-based vesting or delivery requirements.

Parent PSU means any restricted stock unit award payable in Parent Common Stock that is subject to restrictions based on performance conditions and granted under any Parent Stock Plan.

Examples of Parent PSU in a sentence

• In the case of any Parent PSU Award held by a Parent Employee, the number of Parent Shares subject to such Post-Separation Parent PSU Award shall be equal to the product, rounded to the nearest whole share, obtained by multiplying (A) the number of Parent Shares subject to the corresponding Parent PSU Award immediately prior to the Effective Time by (B) the Parent Ratio.

• Any performance targets to which an Adjusted Parent PSU Awards are subject will be adjusted to reflect the Transactions contemplated hereby.

• Parent shall be responsible for the settlement of cash dividends or dividend equivalents on any Post-Separation Parent RSU Awards or Post-Separation Parent PSU Awards held by Parent Employee, Former Employee or non-employee director of Parent.

• With respect to the 2022-2024 SpinCo PSU Awards, the determination of the level of achievement of the performance goals for the first two (2) fiscal years of the 2022-2024 performance period shall be made by the Parent Compensation Committee after the Effective Time at the time performance determinations are customarily made by the Parent Compensation Committee with respect to Parent PSU Awards, and such determination shall be binding on the SpinCo Compensation Committee and SpinCo PSU Award holders.

• The Parent and the Company will work together in good faith to adjust or amend the performance measure under the Plan for the second and third years of the performance period to be the same or substantially similar to the Parent PSU Performance Methodology (over the Parent’s fiscal year).

Parent PSU means any performance-based Parent RSU.
