Parent Representative definition

Parent Representative means any director, officer, employee, agent, advisor (including legal, accounting and financial advisors) or other representative of Parent or its subsidiaries.

Parent Representative has the meaning set forth in Section 2.8(b).

Parent Representative means any director, officer, employee, agent, advisor (including legal, accounting and financial advisors), Affiliate or other representative of Parent or its Subsidiaries.

Examples of Parent Representative in a sentence

• Within ten (10) days of the receipt of such written notice, the Parent Representative or the Company, as the case may be, shall notify the Indemnitee in writing of its intent to contest the indemnification obligation (a "Contest") or to accept liability hereunder.

• If the Parent Representative or the Company, as the case may be, does not respond within ten (10) days of the request of such written notice to such written notice, the Parent Representative or the Company, as the case may be, will be deemed to accept liability as it relates to the Merger Consideration.

• If the Parent Representative or the Company, as the case may be, does not respond within ten (10) days of the request of such written notice to such written notice, the Parent Representative or the Company, as the case may be, will be deemed to accept liability as it relates to the Parent Escrow Deposit or the Merger Consideration Escrow Deposit, as the case may be.

• If the Parent Representative or the Company, as the case may be, accepts liability, the Parent Representative, or the Company, as the case may be, will deliver a Notice to Escrow Agent that there is a determination of liability under Section 8.03 and the Escrow Agent shall be instructed to adjust the Parent Escrow Deposit or the Merger Consideration Escrow Deposit, as the case may be, further to the Escrow Agreement.

More Definitions of Parent Representative

Parent Representative means a Representative of Parent or its Subsidiaries.

Parent Representative means David Martin or Aly-khan Merali, or any other person authorized by Parent to act on behalf of the Parent with respect to this Agreement.

Parent Representative has the meaning set forth in the Preamble.

Parent Representative or “Indemnitee Representative” shall mean Xxxxxx X. Xxxxxxx or any other person (other than any person who is a Holder or present or former affiliate of a Holder) designated in a writing signed by the then-existing Parent Representative and delivered to Escrow Agent and Holder Representative in accordance with the notice provisions of this Agreement, to act as Parent’s representative under this Agreement. This provision shall not be amended without the consent of the then-existing Parent Representative.

Parent Representative means Xxxxxx Xxxxxxxxx or another senior executive officer of Parent designated by Parent.

Parent Representative shall have the meaning stated in Section 6.2(a).

Parent Representative has the meaning set forth in Section 5.16.
