Parent Senior Notes definition

Parent Senior Notes means Parent's 16% Senior Notes Due 2011.

Parent Senior Notes means those certain 10% Senior Discount Notes due 2008 aggregating $325,000,000.00 amount in face value, unsecured, non cash interest bearing (payment in kind only) for the first five years and issued by the Parent pursuant to the Parent Senior Notes Documentation.

Parent Senior Notes means the unsecured senior notes to be issued by Parent in connection with the Exchange Offer on substantially the terms set forth on Exhibit B.

• Calculations of principal amounts for Parent Senior Notes for such purpose will be rounded down with respect to each holder to the nearest amount that is equal to $2,000 and integral multiples of $1,000 in excess thereof and no additional shares of Parent Common Stock will be issued or payment made in compensation for such adjustments.

• In the Exchange Offer, the number of shares of Parent Common Stock and the aggregate principal amount of Parent Senior Notes to be issued in exchange for each $1,000 principal amount of outstanding Company Senior Notes will vary depending on the aggregate principal amount of Company Senior Notes validly tendered pursuant to the Exchange Offer.

• The Notes Exchange Agent will act as agent for the tendering holders for the purpose of receiving the Company Senior Notes and transmitting the Parent Common Stock and Parent Senior Notes in exchange therefor.

• Neither any Borrower nor any Restricted Subsidiary has provided (or is required to provide) a guarantee in respect of the Parent Senior Notes pursuant to the terms of subsection 4.15 of the Parent Indenture.

• Except as set forth on Schedule 4.23: (i) no Loan Party is a party to any material management or consulting agreement for the provision of services to it and (ii) the Parent has not entered into any contract which is material to its business since the date of issuance of the New Parent Senior Notes.

More Definitions of Parent Senior Notes

Parent Senior Notes means US$350,000,000 aggregate principal amount of the Parent's 14-1/4% Senior Notes due 2006 issued under and on the terms set forth in the Parent Senior Note Indenture.
