Parent Shareholder Approval definition

Parent Shareholder Approval has the meaning set forth in Section 4.2.
Parent Shareholder Approval means the approval in accordance with Parent’s organizational documents of those Parent Proposals identified in Section 6.5(e) at the Parent Shareholder Meeting duly called by the Board of Directors of Parent and held for such purpose.

More Definitions of Parent Shareholder Approval

Parent Shareholder Approval shall have the meaning given in Section 5.20.
Parent Shareholder Approval means the approval of (a) those Transaction Proposals identified in clauses (A), (B) and (C) of Section 7.4(e)(ii), in each case, by a special resolution under the CICA (being the affirmative vote of the holders of at least two-thirds (2/3) of the ordinary shares who, being present and entitled to vote at the Parent Shareholders Meeting, vote at the Parent Shareholders Meeting), (b) those Transaction Proposals identified in clauses (D), (E), (F) and (I) of Section 7.4(e)(ii), in each case, by an ordinary resolution under the CICA (being the affirmative vote of the holders of a majority of the ordinary shares who, being present and entitled to vote at the Parent Shareholders Meeting, vote at the Parent Shareholders Meeting) and (c) those Transaction Proposals identified in clauses (G) and (H) of Section 7.4(e)(ii), in each case, by an affirmative vote of the number of holders of Parent Common Stock required to approve such Transaction Proposals under applicable Law and the Governing Documents of Parent.
Parent Shareholder Approval means the approval of (a) the Parent Share Issuance at the Parent Shareholders Meeting by the affirmative vote of a majority of the total votes cast by the holders of Parent Common Stock entitled to vote thereon, (b) the Parent Charter Amendment at the Parent Shareholders Meeting by the affirmative vote of a majority of the shares of Parent Common Stock outstanding and entitled to vote thereon and (c) the Parent Bylaw Amendment at the Parent Shareholders Meeting by the affirmative vote of a majority of the outstanding shares of Parent Common Stock entitled to vote thereon.
Parent Shareholder Approval means, collectively, the Required Parent Shareholder Approval and the Other Parent Shareholder Approval.

Parent Shareholder Approval means the approval of (i) the Merger Agreement and the Transaction Documents, (ii) the Parent Stock Issuance, (iii) adoption of a new Parent stock plan to be described in the Joint Proxy Statement, and (iv) the issuance of Company Common Stock upon the conversion of the Company Preferred Stock, in each case, by the affirmative vote of a majority of the votes cast at the Parent Shareholders Meeting in accordance with the rules and regulations of NASDAQ and the Organizational Documents of Parent; and (v) an amendment to the Parent’s Certificate of Incorporation to increase its authorized capital stock, in an amount to be determined by the time of the filing of the Joint Proxy Statement, by the affirmative vote of a majority of the outstanding stock entitled to vote thereon and in accordance with the Organizational Documents of the Parent.
