Parent Termination Payment definition

Parent Termination Payment means (i) if payable in connection with a termination of this Agreement by the Company or Ultimate Parent pursuant to Section 9.1(d)(iii), an amount equal to $245,000,000 and (ii) if payable in any other circumstance, an amount equal to $280,000,000.
Parent Termination Payment means $42,500,000.
Parent Termination Payment means the Company Expense Amount or the Parent Termination Fee, as the context may require.
