Parent Welfare Plan definition

Parent Welfare Plan means any Parent Benefit Plan which is a Welfare Plan.

Parent Welfare Plan means any Welfare Plan sponsored, maintained, or contributed to by a member of the Parent Group.

Parent Welfare Plan means any Welfare Plan established, sponsored, maintained or contributed to by Parent or any of its Subsidiaries for the benefit of Employees or Former Employees, including the Employees’ Group Benefits Plan of Arconic Inc., Plan I, as amended and restated effective August 1, 2016, the Employees’ Group Benefits Plan of Arconic Inc., Plan II, as amended and restated effective August 1, 2016, the Employees’ Group Benefits Plan of Arconic Inc. Plan I for Retirees, the Employees’ Group Benefits Plan of Arconic Inc. Plan II for Retirees, the Arconic Health Reimbursement Arrangement Plan for Medicare Eligible Retirees, the Arconic Medicare Part B Reimbursement Plan for Certain Eligible Retirees, the Arconic Executive Permanent Life Insurance Plan, the Optional Life Insurance Plan, the Involuntary Separation Plan, the Supplemental Unemployment Benefit Plan, the Arconic Change in Control Severance Plan, as amended and restated effective February 1, 2018, the Arconic Executive Severance Plan and the Legal Fee Reimbursement Plan, effective April 30, 2018, but excluding (i) each Welfare Plan identified in Section 7.08, and (ii) any Spinco Welfare Plan.

Examples of Parent Welfare Plan in a sentence

• Any Retained Business Employee or Former Retained Business Employee who has incurred a disability (within the meaning of the applicable provisions of the Parent Welfare Plan providing long-term disability benefits), and as to which any applicable waiting period has expired prior to the Effective Time, will continue to be covered under the corresponding SpinCo Welfare Plan in accordance with the applicable terms of such SpinCo Welfare Plan with respect to such disability.

• In addition, SpinCo or members of the SpinCo Group shall retain the right to modify, amend, alter or terminate the terms of any SpinCo Welfare Plan to the same extent that the Parent Group had such rights under the corresponding Parent Welfare Plan.

• No SpinCo Welfare Plan shall provide coverage to any Parent Group Employee or Former Parent Group Employee after the Effective Time, and except as provided in this Article VII, no Parent Welfare Plan shall provide coverage to any SpinCo Group Employee or Former SpinCo Group Employee after the Effective Time.

• The Parties acknowledge and agree that nothing in this Agreement limits the rights of Parent and SpinCo, each in its sole discretion, to amend or terminate any Parent Welfare Plan and any SpinCo Welfare Plan, respectively, at any time to the extent permitted or required under the terms of the applicable Parent Welfare Plan or SpinCo Welfare Plan.

• No SpinCo Welfare Plan shall provide coverage to any Parent Group Employee or Former Parent Group Employee after the Effective Time, and no Parent Welfare Plan shall provide coverage to any SpinCo Group Employee or Former SpinCo Group Employee after the Effective Time.

Parent Welfare Plan means any Parent Benefit Plan that is a Welfare Plan, including the XPO Benefit Plan and XPO Logistics Canada Inc. Group Benefits Policy.

Parent Welfare Plan means any Welfare Plan established, sponsored, maintained or contributed to by Parent or any of its Subsidiaries for the benefit of Employees or Former Employees, including the Employees’ Group Benefits Plan of Alcoa Inc., Plan I, the Employees’ Group Benefits Plan of Alcoa Inc., Plan II, the Employees’ Group Benefits Plan of Alcoa Inc. Plan I for Retirees, the Employees’ Group Benefits Plan of Alcoa Inc. Plan II for Retirees, the Alcoa Health Reimbursement Arrangement Plan for Medicare Eligible Retirees, the Alcoa Medicare Part B Reimbursement Plan for Certain Eligible Retirees, the Option Life Insurance Plan, the Surviving Spouse Benefits Plan, the Involuntary Separation Plan and the Supplemental Unemployment Benefit Plan, but excluding (i) each Welfare Plan identified in Section 7.08, (ii) the Parent Change in Control Severance Plan, and (iii) any UpstreamCo Welfare Plan.

Parent Welfare Plan has the meaning set forth in Section 5.05(a).

Parent Welfare Plan means each “employee welfare benefit plan” (as defined in Section 3(1) of ERISA) which is or has been maintained or contributed to by Parent, any Parent Subsidiary or with respect to which Parent or any Parent Subsidiary is or may be required to maintain or make contributions (collectively, the “Parent Welfare Plans”).

Parent Welfare Plan shall have the meaning set forth in Section 3.15(d).

Parent Welfare Plan has the meaning set forth in Section 8.01(a).

Parent Welfare Plan means the Capitol Bancorp Ltd. Welfare Benefit Plan.
