Parent’s Knowledge definition

Parent’s Knowledge means the actual knowledge of those individuals identified in Section 1.1(b) of the Parent Disclosure Schedule.
Parent’s Knowledge means the knowledge after due inquiry of any officer or director of Parent.

  • To Parent’s Knowledge, except as set forth in Schedule 3.8(c), such disclosure controls and procedures are effective in timely alerting Parent’s principal executive officer and principal financial officer to material information required to be included in Parent’s periodic reports required under the Exchange Act.

  • All such Permits are in full force and effect, and no suspension or cancellation of any of the Permits is pending or, to Parent’s Knowledge, threatened in writing, except where such suspension or cancellation would not reasonably be expected to be, individually or in the aggregate, material to the Parent Group, taken as a whole.
