Pari Passu Facility definition
Pari Passu Facility means any credit facility made available to a Pari Passu Note Issuer or (to the extent not prohibited under the terms and conditions of the Pari Passu Debt Documents) to any other member of the Restricted Group, in each case where:
Pari Passu Facility means any Indebtedness of any member of the Consolidated Group that, prior to becoming Secured Indebtedness, was included in Unsecured Indebtedness for purposes of calculating the covenants set forth in Section 8.15(f) and Section 8.15(g), and any modifications, amendments, renewals, extensions, or restructurings of any such Indebtedness.
Pari Passu Facility means any Indebtedness in a principal amount equal to or greater than $100,000,000 of any member of the Consolidated Group that, prior to becoming Secured Debt, was included in Total Unsecured Debt for purposes of calculating the covenants set forth in Section 9.13(f) and (g), and any modifications, amendments, renewals, extensions, or restructurings of any such Indebtedness.
Examples of Pari Passu Facility in a sentence
The provisions of this Article X are solely for the benefit of the Administrative Agent, the Lenders, the L/C Issuers and the Designated Pari Passu Facility Providers, and no Loan Party shall have rights as a third party beneficiary of any of such provisions.
As of any date of calculation, the lesser of (i) the Total Commitment (less any prepayments of Term Loans) and (ii) the Unencumbered Pool Value less the Outstanding amount of all Unsecured Indebtedness other than the Obligations (including, without limitation, any Pari Passu Facility).

Pari Passu Facility means any credit facility made available to the Parent or any Restricted Subsidiary where any:

Pari Passu Facility means the first lien pari passu credit agreement dated as of June 13, 2023, among the Issuer, Holdings, Wilmington Trust, National Association, as Administrative Agent, Sabre Financial Borrower, LLC, as lender, including any guarantees, collateral documents, instruments and agreements executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals, restatements, refundings or refinancings thereof and any indentures, guarantees, credit facilities or commercial paper facilities that replace, refund, exchange or refinance (or successively replace, refund, exchange or refinance) any part of the loans, notes, guarantees, other credit facilities or commitments thereunder, including any such replacement, refunding or refinancing facility or indenture (or successive replacement, refunding, exchange or refinancing facility or indenture) that increases the amount borrowable thereunder or alters the maturity thereof; provided that such increase in borrowings is permitted under Section 4.09 and Section 4.12 hereof.
Pari Passu Facility means: (a) each Bilateral Bonding Facility; (b) any other credit facility made available to any member of the Group which does not breach the terms of any Super Senior Debt Document(s) or any other Pari Passu Document at that time and where any (i) agent of the lenders in respect of the credit facility becomes a Party as a creditor representative; and (ii) lender in respect of the credit facility has become a Party as a Pari Passu Lender, in respect of that credit facility pursuant to the Intercreditor Agreement.
Pari Passu Facility means one or more revolving credit, working capital, guarantee, leasing, derivatives, overdraft facility/facilities or term loans which may be provided to the Issuer or any Material Group Company, with aggregate outstanding (and utilisations to be made) under the Pari Passu Facility does not exceed the Debt Threshold (measured in relation to an increase of amounts outstanding), to be demonstrated to the Bond Trustee by delivering a compliance certificate with such supporting documentation as the Bond Trustee may reasonably require and which shall be applied towards general corporate and working capital purposes of the Group.
