Examples of Per Share Amount in a sentence

• The Per Share Amount shall, subject to applicable withholding of taxes, be net to the seller in cash, upon the terms and subject to the conditions of the Offer.

More Definitions of Per Share Amount

Per Share Amount means the sum, rounded to the nearest one-tenth of a cent, of (A) $33.00 plus (B) the product, rounded to the nearest one tenth of a cent, of the Share Ratio times the Parent Closing Price.

Per Share Amount means the amount obtained by dividing: (A) the sum of (1) the Adjusted Transaction Value plus (2) the Aggregate Exercise Amount; by (B) the Fully Diluted Company Share Number.

Per Share Amount means the amount obtained by dividing the Closing Transaction Value by the number of Exchangeable Shares.

Per Share Amount means an amount, if positive, equal to (a) the Estimated Merger Consideration plus the Aggregate Option Exercise Price minus the Adjustment Escrow Amount minus the Indemnity Escrow Amount minus the Aggregate Liquidation Amount minus the Stockholder Representative Expense Amount, divided by (b) the number of Fully Diluted Shares immediately prior to the Effective Time.

Per Share Amount means the quotient obtained by dividing (A) the sum of (1) the Total Merger Consideration and (2) the Aggregate Exercise Price, by (B) the Fully Diluted Company Capital Stock.

Per Share Amount means $30.00.

Per Share Amount shall have the meaning ascribed to such term in the preamble to this Agreement.
