Per Share Subscription Price definition

Per Share Subscription Price means an amount equal to the Per Share Merger Consideration (which, for the avoidance of doubt, may be amended in accordance with the terms of the Merger Agreement and this Agreement).

Per Share Subscription Price means $1.76.

Per Share Subscription Price means the per Share price calculated by multiplying the Pozen Purchase Price by 0.1455. • For the avoidance of doubt, such additional subscription agreements shall reflect not less than the same Per Share Subscription Price and shall, once executed, constitute Other Subscription Agreements for purposes of this Agreement, mutatis mutandis.

• For the avoidance of doubt, this Section 5(l) shall not apply to any document entered into in connection with the Insider PIPE Investment; provided, however, that such Insider PIPE Investment shall be with respect to the same class of common stock being acquired by the Investor hereunder and at the same Per Share Subscription Price.

• For the avoidance of doubt, this Section 5(o) shall not apply to any document entered into in connection with the Insider PIPE Investment; provided, however, that such Insider PIPE Investment shall be with respect to the same class of Shares being acquired by the Investor hereunder and at the same Per Share Subscription Price.

More Definitions of Per Share Subscription Price

Per Share Subscription Price has the meaning ascribed to such term in the recitals to this Agreement.

Per Share Subscription Price means, with respect to the Class A Preferred Shares and the Class B Preferred Shares, US$100,000.00, and with respect to any other class of preferred shares as may be issued by the Issuer as permitted under the Company Articles, an amount in U.S. dollars to be agreed in writing between the Issuer and Buyer.

Per Share Subscription Price shall have the meaning set forth in the recitals hereof.

Per Share Subscription Price means the amount equal to the Subscription Price divided by the total number of Subscription Shares, or US$24.699 per Series A Preferred Share.

Per Share Subscription Price as to any Investor, shall mean, on any date of determination, the quotient obtained by dividing (a) such Investor's Subscription Amount plus the aggregate exercise price paid by the Investor in connection with any Warrant exercise by such Investor on or prior to such date by (b) the Shares acquired by the Investor on the Closing Date (as defined below) plus the shares of Common Stock acquired by the Investor upon the exercise of any Warrants exercised on or prior to such date of determination.

Per Share Subscription Price has the meaning given thereto in Section 4.7.1;

Per Share Subscription Price means E10.00 per share, or in the event that the Aggregate Equity Price exceeds E732,000,000, the "Per Share Subscription Price" shall equal the Aggregate Equity Price divided by 73,200,000 (with it being understood that in no event shall the Per Share Subscription Price for Ordinary Shares issued on or before 120 days after the date that the Take-Over Offer becomes or has been declared unconditional in all respects exceed the Acquisition Cost per Ordinary Share for the MDCP Co-Investors).
