Performance-Based Restricted Stock definition

Performance-Based Restricted Stock means Shares issued or transferred to an Eligible Individual under Section 9.2.

Performance-Based Restricted Stock means Shares of Restricted Stock issued or transferred to an Eligible Individual under Section 10.2.

Performance-Based Restricted Stock or "PBRS" means Restricted Stock with performance conditions other than the mere passage of time or continued employment or service which satisfy the requirements as performance-based compensation under Section 162(m).
