Performance Criterion definition

Performance Criterion or "Performance Criteria" means any one or more of the following performance measures, taken alone or in conjunction with each other, each of which may be adjusted by the Committee to exclude the before-tax or after-tax effects of any significant acquisitions or dispositions not included in the calculations made in connection with setting the Performance Criterion or Performance Criteria for the relevant Incentive Award:
Performance Criterion or “Performance Criteria” shall mean the criterion or criteria that the Committee shall select for purposes of establishing the Performance Goal(s) for a Performance Period with respect to any Performance Compensation Award under the Plan.
Performance Criterion means the relevant performance criteria for the Facility identified in Exhibit 16B.

Examples of Performance Criterion in a sentence

  • With respect to each Performance-Based Award granted to a Covered Employee, the Administrator shall select, within the first 90 days of a Performance Cycle (or, if shorter, within the maximum period allowed under Section 162(m) of the Code) the Performance Criteria for such grant, and the Performance Goals with respect to each Performance Criterion (including a threshold level of performance below which no amount will become payable with respect to such Award).

Performance Criterion means, and may be measured in terms of, the attaining of any business-related performance goals specified by the Committee, including but not limited to the following criteria, and/or the role played by a Participant in connection therewith: (i) net income, (ii) earnings per share, (iii) operating income, either before or after deduction of performance compensation including Bonus Awards, (iv) earnings before or after taxes (including earnings before interest, taxes, depreciation and amortization), (v) book value per share, (vi) return on stockholders’ equity, (vii) expense management, (viii) return on investment before or after the cost of capital, (ix) improvements in capital structure, (x) profitability of an identifiable business unit or product, (xi) profit margins, (xii) stock price, (xiii) market share, (xiv) revenues or sales, (xv) costs, (xvi) cash flow, (xvii) working capital, (xviii) changes in net assets (whether or not multiplied by a constant percentage intended to represent the cost of capital), (xix) return on assets, (xx) customer satisfaction, (xxi) business development, (xxii) completion of transactions, (xxiii) market share, (xxiv) progress towards long term business goals and (xxv) gross dealer concessions. A Performance Criterion may be measured over a performance period on a periodic, annual, cumulative or average basis and may be established on a corporate-wide basis or established with respect to one or more operating units, divisions, subsidiaries, acquired businesses, minority investments, partnerships or joint ventures. Unless otherwise determined by the Committee or by nature not so determinable, the Performance Criteria will be determined using GAAP consistently applied during a Performance Period by no later than the Outside Rules Date; provided that, with respect to any Covered Executive the Performance Criteria shall be such as to qualify as pre-established objective performance goals within the Section 162(m) Rules.
Performance Criterion means any of the criteria that the Committee selects for purposes of establishing the Performance Goal or Performance Goals for an individual in connection with a Performance-Based Award and for a given Performance Cycle. The Performance Criterion (which shall be applicable to the organizational level specified by the Committee, including, but not limited to, the Company or a unit, division, group, or Affiliate of the Company) that will be used to establish Performance Goals are limited to the following: (i) earnings before interest, taxes, depreciation and amortization; (ii) net income (loss) (either before or after interest, taxes, depreciation and/or amortization); (iii) changes in the market price of the Stock; (iv) cash flow; (v) funds from operations or similar measure; (vi) sales or revenue; (vii) acquisitions, strategic transactions, joint ventures, strategic alliances, spin-offs and divestitures; (viii) operating income (loss); (ix) return on capital, assets, equity, or investment; (x) total stockholder returns or total returns to stockholders; (xi) gross or net profit levels; (xii) productivity; (xiii) expense; (xiv) margins; (xv) operating efficiency; (xvi) customer satisfaction, acquisition or retention; (xvii) working capital; (xviii) earnings per share of Stock; (xix) sales of products or services; or (xx) strategic investments, recapitalizations, restructurings, financings or refinancing, any of which under the preceding clauses (i) through (xx) may be measured either in absolute terms or as compared to any incremental increase or as compared to results of a peer group.
