Performance Date definition

Performance Date means December 31, 2022. If the Locality, in consultation with the Authority and VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, the Locality may, prior to the then-current Performance Date, request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Board of Directors of VEDP (the “Board”). If the Performance Date is extended, the Locality shall send written notice of the extension to the Authority, the Company and VEDP and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.

Examples of Performance Date in a sentence

  • If Xxxxx Xxxxxxxx has not met at least 90% of either or both of these Targets as of the Performance Date, Xxxxx Xxxxxxxx shall repay to the XXX that part of the COF Grant that is proportional to the shortfall from the Target or Targets for which it received COF proceeds.

  • If Xxxxx Xxxxxxxx has met at least 90% of both of the Targets as of the Performance Date, then and thereafter Xxxxx Xxxxxxxx is no longer obligated to repay any portion the COF Grant.

  • If the County, the XXX, or VEDP shall determine at any time prior to the Performance Date (the “Determination Date”) that Xxxxx Xxxxxxxx is unable or unwilling to meet the Targets by and through the Performance Date, and if the County, the XXX or VEDP shall have promptly notified Xxxxx Xxxxxxxx of such determination, Xxxxx Xxxxxxxx must repay the entire COF Grant to the XXX.

  • VEDP has estimated that the Commonwealth will reach its “break-even point” by the Performance Date.

  • Such repayment shall be due from Xxxxx Xxxxxxxx to the XXX within ninety days after the Performance Date, the Contribution Notification Date, or the Determination Date, as applicable.

Any extension of the Performance Date shall require the prior written approval of the Commission’s Executive Director or his designee. Any further extensions will require the approval of the Commission’s governing body. If the Performance Date is extended, the Commission shall send written notice of the extension to the Authority and the Company, and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.
Performance Date means the date for the performance of a Performance Milestones, as set forth in Appendix B-1.
