If Shares are subscribed for at a time when the Cumulative Relative Performance per Share is positive, the Shareholder will be required to pay an amount in excess of the then current net asset value per Share equal to the Performance Fee Rate applied to the then current Cumulative Relative Performance per Share before accrual for the Performance Fee (an “Equalisation Credit”).
In the event of a decline as at any Valuation Day in the Cumulative Relative Performance per Share of those Shares, the Equalisation Credit will also be reduced by an amount equal to the Performance Fee Rate applied to the difference between the Cumulative Relative Performance per Share (before accrual for the Performance Fee) at the date of issue and as at that Valuation Day.
This is then multiplied by applicable Performance Fee Rate as set out in Appendix 1 and adjusted by the value of the Subscription Adjustment on that day.
If the Shareholder redeems its Shares before the Equalisation Debit has been fully applied, the Shareholder will be charged a Performance Fee equal to the Performance Fee Rate applied to any relative appreciation over the period such Shares were held multiplied by a fraction, the numerator of which will be the number of Shares being redeemed and the denominator of which will be the number of Shares held by the Shareholder immediately prior to the redemption in question.
Note 6 - Performance fee The Management Company is entitled to receive a performance fee in respect of Class P Shares calculated at a Performance Fee Rate of 20%.
