Without limiting the generality of the foregoing, the Performance Guarantor shall not permit the occurrence of any Change in Control.
The institution of any litigation, arbitration proceeding or governmental proceeding with respect to the Seller, the Servicer, the Performance Guarantor or any Originator, which with respect to any Person other than the Seller, could reasonably be expected to have a Material Adverse Effect.
