Performance of his duties means on duty in the context of this chapter.

  • Executive shall not disclose or use at any time, either during the Term or thereafter, to any person or entity or use for his own direct or indirect benefit any Confidential Information (as defined below) of which Employer is or becomes aware, whether or not such information is developed by Executive, except to the extent that such disclosure or use is directly related to and required by Executive’s Performance of his duties under this Agreement.

  • Performance of his duties hereunder shall in no event require that the Executive work on a regular basis at any location other than within twenty (20) miles of the Company's present office location.

  • The Board or any designated officer shall perform an annual review of Employee's Base Salary based on Employee's Performance of his duties and the Company's other compensation policies; provided that any increase in the Base Salary shall require approval of the Board.

  • Performance of his duties hereunder shall in no event require that the Executive work on a regular basis at any location other than within twenty (20) miles of his present office location; provided, however, that if Executive initiates a relocation of his present office, such shall be deemed a consent to performance of his duties in such location.

  • Provided, however, that Employee shall not be precluded from engaging in other incidental business activities or investments including, but not limited to, serving on boards of directors and hold other offices and positions in companies which in the Board’s judgment will not present any conflict of interest with the Bank or otherwise interfere with the Performance of his duties for the bank or the obligations contained in this Agreement.

  • Performance has the meaning ascribed to it in the Copyright Act 98 of 1978, as amended from time to time, and the words “Perform” and “Performed” and “Performing” will have the same meaning
