Examples of Permitted Subcontractor in a sentence
Except where otherwise expressly provided in the Agreement, any and all license rights extending to Servicer or any Permitted Subcontractor in and to the Navient Intellectual Property shall terminate automatically upon the later of the expiration or termination of the Agreement or the applicable Termination Assistance Period.
With respect to a Permitted Subcontractor, Servicer shall not disclose Navient Confidential Information to such Permitted Subcontractor until such Permitted Subcontractor has executed a nondisclosure agreement or is otherwise bound by contractual confidentiality obligations no less restrictive than those that are applicable to Servicer herein.
If and when either Party decides to engage a Permitted Subcontractor, such Party will, in advance of such engagement, notify the other Party of such Permitted Subcontractor’s name and address of the principal place of business and facility where activities under the Nonclinical Workplan will be actually performed.
Upon notice to Servicer (which shall be at least 60 days prior to the effective date of revocation unless the reason for revocation is due to safety, security or non-compliance with Law issues), Navient may revoke its approval of a Permitted Subcontractor at any time for good cause (as reasonably determined by Navient and after giving Servicer the reasonable opportunity to discuss any revocation).
Upon revocation, Servicer may no longer use such Permitted Subcontractor.
