Pfizer Compound definition

Pfizer Compound means any Pfizer compound, any library of Pfizer compounds, and intermediates of any Pfizer compound, any impurities of any Pfizer compound, and any information regarding the chemical or biochemical properties of any Pfizer compound that Pfizer delivers to Xenogen Cranbury under this Agreement.

More Definitions of Pfizer Compound

Pfizer Compound means Xalkori (crizotinib) or a salt thereof, excluding, however, any generic version of crizotinib other than a generic version owned or controlled by Pfizer or its Affiliate.

Pfizer Compound means MEKTOVI (binimetinib) or a salt thereof, excluding, however, any generic version of binimetinib other than a generic version owned or controlled by Pfizer or its Affiliate.

Pfizer Compound means any synthetic or natural chemical compound or biological material that is introduced into the Research Program and is: (a) Covered by Pfizer Patent Rights or otherwise Controlled by Pfizer; or (b) any salt, ester, amide, complex, chelate, hydrate, stereoisomer, crystalline or amorphous form, prodrug, metabolite or metabolic precursor of any of the compounds or materials described in the preamble above. For the avoidance of doubt, virtual screening of Pfizer’s compound file does not constitute the introduction of such compounds into the Research Program and the results of such screening and associated intellectual property shall belong to Pfizer regardless of whether the algorithm used to screen the Pfizer compound file is provided by Pfizer or Icagen; provided that, if the compounds identified in the virtual screen are screened in an assay in the Research Program such compounds shall be considered Pfizer Compounds introduced into the Research Program.

Pfizer Compound means (i) any composition of matter, [...]* that is specifically or generically claimed in composition of matter claims in any patent and/or patent application owned, licensed or otherwise Controlled by PFIZER as of the Effective Date or during the Term of this Agreement, and (ii) Generic Compounds that [...]*. A PFIZER Compound shall not include a corticosteroid or an Option Compound for which Alimera has exercised the Alimera Compound Option (as defined in the Alimera Agreement) under Section 5.8.3 of the Alimera Agreement.
