PIK Dividends definition

PIK Dividends has the meaning set forth in Section 4(a)(i)(B).

PIK Dividends means any shares of the Series B Preferred Stock that have been issued as dividends on shares of the Series B Preferred Stock.

PIK Dividends means, collectively, the PIK Dividends (as defined in the Series B Certificate of Designations) and the PIK Dividends (as defined in the Series C Certificate of Designations).

• All Dividend Amounts paid in cash or elected to be paid as PIK Dividends shall be compounded as applicable.

• Subject to certain limitations, the Reporting Person’s beneficial ownership may increase as a result of quarterly PIK Dividends as described below.

• Unless prohibited by Delaware law governing distributions to stockholders, shares of the Preferred Stock may be redeemed by the Corporation through a cash payment at a per share price equal to the Stated Value (including, for the avoidance of doubt, all PIK Dividends accreted thereto), plus all accrued but unpaid dividends thereon (the “Redemption Price”), at any time on or after the Original Issue Date.

PIK Dividends means dividends on Series A Preferred Stock that are paid in kind of additional fully paid and nonassessable shares of Series A Preferred Stock instead of being paid in cash.
