PIK Toggle Notes definition

PIK Toggle Notes means the 7.75%/8.50% Senior PIK Toggle Notes due 2019 issued pursuant to that certain Indenture, dated November 4, 2013, between Chinos Intermediate Holdings A, Inc., as Issuer, and U.S. Bank National Association, as trustee.

PIK Toggle Notes means those certain 8.750%/9.500% Senior PIK Toggle Notes due 2021 issued pursuant to the PIK Toggle Notes Indenture.

PIK Toggle Notes means the 7.75%/8.50% Senior PIK Toggle Notes due 2019 (as amended, supplemented or otherwise modified from time to time) issued by Chinos Intermediate Holdings A, Inc., a Delaware corporation and the indirect parent holding company of J.Crew Group (the “PIK Toggle Notes Issuer”), pursuant to the indenture, dated as of November 4, 2013, between the PIK Toggle Notes Issuer and U.S. Bank National Association, as the trustee thereunder (the “PIK Toggle Notes Trustee”) (as such indenture may be amended, supplemented or otherwise modified from time to time) (the “PIK Toggle Notes Indenture”).

PIK Toggle Notes means Univision’s 9.75%/10.50% Senior Notes due 2015 in the original principal amount of $1,500,000,000, as such amount may be increased from time to time in respect of the payment of interest thereunder and any additional notes issued pursuant to the terms of any indenture and/or other agreement governing such notes and all documentation delivered pursuant thereto representing the payment of interest (and including any substantially identical notes having the same guarantees issued in a dollar for dollar exchange therefore pursuant to an exchange offer registered with the Securities and Exchange Commission), any extension or renewal thereof, or any replacement or refinancing thereof with substantially similar debt.

PIK Toggle Notes means the 10.50%/11.25% Senior PIK Toggle Notes due 2019 issued by the PIK Toggle Notes Issuer under the indenture dated as of June 10, 2014 as amended, restated, supplemented or otherwise modified from time to time, together with any renewal, replacement or refinancing thereof; provided that, for the avoidance of doubt, any 10.50%/11.25% Senior PIK Toggle Notes due 2019 that are exchanged or tendered in connection with the Transactions shall not constitute PIK Toggle Notes.
