Unless otherwise provided in or pursuant to this Indenture, the Company and the Guarantor hereby designate as the Place of Payment and the Place of Conversion for each series of Securities (other than those issued as Bearer Securities) and the Guarantees endorsed thereon, the Borough of Manhattan, The City of New York, and initially appoint the Corporate Trust Office of the Trustee as the Company's and the Guarantor's Office or Agency in the Borough of Manhattan, The City of New York for such purpose.
Unless otherwise provided in or pursuant to this Indenture, the Company and the Guarantor hereby designate as the Place of Payment and the Place of Conversion for Bearer Securities and the Guarantees endorsed thereon, to be London, England, and initially appoint the office of the Trustee in London as the Office or Agency for such purpose and initially appoint the office of the Trustee in London as its Paying Agent in London.
