The REIT ----------------------------------------------------------- shall at all times use its best efforts to meet the requirements to qualify as a REIT [and a domestically-controlled REIT] under the Code and as a REOC within the meaning of Plan Assets Regulations, unless and until the Board of Directors shall determine, in accordance with the Declaration of Trust, that it is not in the best interest of the General Partner and the holders of its beneficial interests to continue to meet such requirements.

The Colony Partners agree to notify the KWI Partners promptly in the event that the Colony Partners conclude that, for purposes of the Plan Assets Regulations, any of the assets of the Colony Partners constitute or in the immediately foreseeable future will constitute the assets of any "plan" as defined in and subject to ERISA or Section 4975 of the Code.
