Plan Support Agreement definition

Plan Support Agreement has the meaning set forth in the Recitals.

Plan Support Agreement means that certain Plan Support Agreement, dated as of August 9, 2015 (as amended on September 11, 2015, October 27, 2015, and November 12, 2015, and as may be amended, supplemented, or otherwise modified from time to time in accordance therewith), by and among the Debtors, the Original Plan Sponsors, the TCEH Supporting First Lien Creditors, the TCEH First Lien Agent, the TCEH Supporting Second Lien Creditors, the TCEH Committee, and certain other Entities, including all exhibits and schedules attached thereto.

Plan Support Agreement means that certain Plan Support Agreement entered into on December 10, 2017 by and among the Debtors, the Owners, the Consenting Lenders, and any subsequent Entity that becomes a party thereto pursuant to the terms thereof.

• This Plan may be amended, modified, or supplemented by the Debtors, subject to the consent rights set forth in the Plan Support Agreement, in the manner provided for by section 1127 of the Bankruptcy Code or as otherwise permitted by law, without additional disclosure pursuant to section 1125 of the Bankruptcy Code, except as otherwise ordered by the Bankruptcy Court.

• The New Board will initially consist of directors who will be designated in accordance with the terms of the Plan Support Agreement.

• On or before the Effective Date, the Debtors may file with the Bankruptcy Court such agreements and other documents as may be necessary or appropriate to effectuate and further evidence the terms and conditions of the Plan, subject to, and in accordance with, the terms of the Plan Support Agreement.

Plan Support Agreement means that certain USA Gymnastics Plan Support Agreement first dated as of May 6, 2021 between and among the Debtor, the Survivors’ Committee, and the Accepting Parties who sign it, and any amendments to the Plan Support Agreement.‌
