Plan Support Effective Date definition

Plan Support Effective Date means the date upon which the Debtors and each Plan Support Public Entity has fully executed and delivered the applicable Public Entity PSA to each other. For the avoidance of doubt, this Agreement shall not be effective as to any Party until the Debtors and each of the Plan Support Public Entities has executed a Public Entity PSA. The Debtors shall not be required to obtain Bankruptcy Court approval of entry into this Agreement (other than to the extent the settlement and compromises and the Plan Treatment contemplated by this Agreement are being approved pursuant to a Confirmation Order in respect of a Debtor Plan at such time as the Debtors determine to seek such approval).

Plan Support Effective Date means the date on which counterpart signature pages to this Agreement shall have been executed and delivered by the Company, the Consenting First Lien Lenders, and the Consenting Noteholders.

Plan Support Effective Date means the date upon which this Agreement becomes effective and binding on the Parties in accordance with the provisions of Section 11 hereof.

Examples of Plan Support Effective Date in a sentence

• This Agreement shall become effective and binding on the Parties, to the fullest extent permissible under applicable law, on the Plan Support Effective Date, and not before such date.

• Except as provided in this Agreement and in any amendment among the Parties, if the Restructuring Transactions are not consummated, if the Plan Support Effective Date does not occur, or if this Agreement is terminated for any reason, the Parties fully reserve any and all of their rights.

• This Plan Support Agreement shall become effective and binding upon each Party upon the Plan Support Effective Date; provided that signature pages executed by Consenting Noteholders shall be delivered to (a) other Consenting Noteholders in a redacted form that removes such Consenting Noteholders’ holdings of the Unsecured Notes and (b) the Memorial Parties, Weil, and the Memorial Parties’ other advisors in an unredacted form (to be held by Weil and such other advisors on a professionals’ eyes only basis).

• Notwithstanding anything contained herein to the contrary, during the Plan Support Period, a Consenting Holder may offer, sell or otherwise transfer any or all of its Senior Notes to any entity that, as of the Plan Support Effective Date was, and as of the date of transfer continues to be, an entity that controls, is controlled by or is under common control with the Consenting Holder and is (or executes a Joinder Agreement under which such entity agrees to become) a Party to this Agreement.

Plan Support Effective Date means the date on which counterpart signature pages to this Agreement shall have been executed and delivered by (i) the Company, (ii) holders of at least 66 2/3% of the outstanding principal amount of the First Lien Claims and, (iii) holders of at least 40% of the outstanding principal amount of the Second Lien Note Claims.
